"ChartMatch," "we," "us," "our" refers to ChartMatch, the operator of the Service.
"User," "you," "your" refers to any individual or entity that accesses or uses the Service.
"API" means the ChartMatch application programming interface, accessible via HTTP requests authenticated with an API key.
"Content" means all data, results, analysis, charts, patterns, and information provided by or through the Service.
You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

We reserve the right to suspend or terminate your account if any information provided proves to be inaccurate, not current, or incomplete, or if we reasonably believe your account is being used in violation of these Terms.
API keys issued to you are confidential and personal to your account. You must not share, publish, or expose your API keys in client-side code, public repositories, or any publicly accessible location. You are solely responsible for all API calls made using your keys. We reserve the right to revoke API keys at any time if we detect misuse, abuse, or any violation of these Terms.
The Service offers multiple subscription tiers (currently Free, Pro, and Builder). Pricing, features, and call limits for each tier are described on our pricing page and may change at our discretion. We will provide at least 30 days' notice before any price increase takes effect for existing subscribers.
Paid subscriptions are billed in advance on a monthly basis. Payments are processed by Paddle.com Market Limited ("Paddle"), which acts as our Merchant of Record. Paddle handles all payment processing, invoicing, sales tax, and VAT compliance on our behalf. By subscribing to a paid plan, you agree to Paddle's Terms of Service and Buyer Terms. Your payment relationship is with Paddle, and Paddle will appear on your bank/card statement as the charge merchant.
You may cancel your subscription at any time through the dashboard billing portal. Upon cancellation, your subscription remains active until the end of the current billing period. After that, your account will revert to the Free tier. No partial refunds are issued for unused time within a billing period.
All fees are non-refundable except as required by applicable law. If you believe you have been charged in error, contact us within 30 days of the charge.
Each subscription tier includes a monthly API call limit. Once the limit is reached, further API requests will be rejected until the next billing cycle. We do not charge overage fees. If you consistently require more calls, you should upgrade to a higher-tier plan.

We reserve the right to suspend or terminate access for any User who violates these provisions, without notice or refund.
The Service, including its software, algorithms, design, documentation, branding, and all associated intellectual property, is owned by ChartMatch and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms and your subscription tier.
You may use data and results returned by the API in your own applications, trading systems, dashboards, and analysis tools, provided such use complies with these Terms and does not involve reselling raw API access.
The Service incorporates market data sourced from third-party providers, including but not limited to Binance and Yahoo Finance. This data is provided on an "as-is" basis. We do not guarantee the accuracy, completeness, timeliness, or reliability of any third-party data. Third-party data providers may change their terms, availability, or data quality at any time, which may affect the Service.
Your use of data originating from third-party providers may also be subject to those providers' own terms of use. You are responsible for ensuring your use of data obtained through ChartMatch complies with all applicable third-party terms.
THE SERVICE IS NOT AND SHALL NOT BE CONSTRUED AS FINANCIAL ADVICE, INVESTMENT ADVICE, TRADING ADVICE, OR ANY OTHER FORM OF PROFESSIONAL ADVICE.
ChartMatch provides historical pattern-matching analysis based on mathematical algorithms (Dynamic Time Warping). The Service identifies statistical similarities between current and historical price patterns and presents historical outcome data. This information is provided for educational and research purposes only.
You expressly acknowledge and agree that:
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, OR RELIABILITY.
Without limiting the foregoing, we do not warrant that:

IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.
We may also update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination:

The Service integrates with third-party services including but not limited to Paddle (payment processing and Merchant of Record), Google (authentication), and AI model providers (analysis). Your interactions with these services are governed by their respective terms and privacy policies. We are not responsible for the practices or content of any third-party services.
These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties. If a dispute cannot be resolved through negotiation within 30 days, either party may pursue resolution through the courts of competent jurisdiction.
CLASS ACTION WAIVER: To the maximum extent permitted by applicable law, you agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against ChartMatch.
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
These Terms, together with the Privacy Policy and any other legal notices or agreements published by us on the Service, constitute the entire agreement between you and ChartMatch regarding the use of the Service and supersede all prior agreements and understandings.
